1. Agreement to Terms

These Terms of Service ("Terms") govern your use of uRequest Live's entertainment services, interactive technology platform, and related services (collectively, the "Services"). By booking our services, accessing our website, or using our interactive technology, you agree to be bound by these Terms.

If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

2. Services Description

uRequest Live provides:

  • Live band entertainment for corporate events, galas, and celebrations
  • Interactive music request technology platform
  • Professional musicians and performers
  • Event production and technical support
  • Customized entertainment experiences
  • Live band karaoke services
  • Photo collage and multimedia experiences

3. Booking and Confirmation

3.1 Booking Process

  • All bookings are subject to availability
  • A signed contract and deposit are required to confirm your booking
  • Bookings are not confirmed until we provide written confirmation
  • We reserve the right to decline any booking request

3.2 Event Details

You must provide accurate and complete information about your event, including:

  • Event date, time, and duration
  • Venue location and technical specifications
  • Expected number of attendees
  • Special requirements or restrictions
  • Contact person for event day coordination

4. Payment Terms

4.1 Pricing and Fees

  • Prices are quoted in Canadian dollars unless otherwise specified
  • A 50% deposit is required upon booking confirmation
  • Balance is due 7 days before the event date
  • Additional services requested on event day may incur extra charges
  • Travel expenses may apply for events outside the Greater Toronto Area

4.2 Payment Methods

  • We accept bank transfers, credit cards, and corporate cheques
  • Credit card payments may incur a 2.9% processing fee
  • Late payments may result in service cancellation

4.3 Taxes

All prices are subject to applicable taxes (HST/GST/PST) unless otherwise stated. Tax-exempt organizations must provide valid exemption certificates.

5. Cancellation and Refund Policy

5.1 Client Cancellations

  • More than 60 days before event: Full refund minus $500 administration fee
  • 30-59 days before event: 50% of total fee retained
  • 15-29 days before event: 75% of total fee retained
  • Less than 14 days before event: No refund

5.2 Force Majeure

In case of cancellation due to circumstances beyond either party's control (including but not limited to acts of God, pandemic restrictions, government orders, natural disasters), we will work with you to reschedule the event or provide a credit for future services.

5.3 Our Right to Cancel

We reserve the right to cancel services if:

  • Payment is not received as agreed
  • The venue or event conditions pose safety risks
  • Client breaches these Terms
  • Performer illness or emergency (replacement will be offered when possible)

6. Event Requirements

6.1 Technical Requirements

Client must provide or ensure:

  • Adequate power supply (minimum 2 x 20amp circuits)
  • Performance area of at least 20' x 16' (can be adjusted based on venue)
  • Protected area in case of outdoor events
  • Load-in access at least 3 hours before event start
  • Parking for equipment vehicles

6.2 Venue Coordination

Client is responsible for all venue arrangements, permits, and compliance with venue rules and regulations. Any fees, fines, or penalties resulting from venue issues are the client's responsibility.

7. Performance and Content

7.1 Musical Content

  • We maintain artistic control over song selection and performance style
  • We will make reasonable efforts to accommodate song requests
  • We reserve the right to decline inappropriate or offensive requests
  • Set lists are subject to change based on audience response and event flow

7.2 Interactive Technology

Our interactive request system requires:

  • Stable internet connection at the venue
  • Guest devices for participation (smartphones/tablets)
  • We are not responsible for guest device compatibility issues

8. Liability and Indemnification

8.1 Limitation of Liability

To the fullest extent permitted by law, uRequest Live's total liability for any claims arising from or related to these Terms or our Services shall not exceed the total amount paid by the client for the specific event giving rise to the claim.

8.2 Indemnification

Client agrees to indemnify and hold harmless uRequest Live, its performers, employees, and affiliates from any claims, damages, or expenses arising from:

  • Client's breach of these Terms
  • Venue-related issues or violations
  • Guest behavior or injuries at the event
  • Violation of any laws or regulations

8.3 Insurance

We maintain general liability insurance for our services. Clients may request certificates of insurance for venue requirements. Additional insurance coverage can be arranged at client's expense.

9. Intellectual Property

9.1 Our Property

All intellectual property rights in our services, technology, branding, and promotional materials remain our exclusive property. Client may not use our name, logos, or materials without written permission.

9.2 Recording and Photography

  • Client may photograph or record performances for personal use
  • Commercial use of recordings requires written agreement
  • We reserve the right to use event photos/videos for promotional purposes
  • Client will be credited when their event content is used promotionally

9.3 Music Licensing

We maintain appropriate licenses for public performance of copyrighted music. Client is responsible for any additional licensing requirements specific to their event or venue.

10. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to our data practices as described in the Privacy Policy.

11. Communication

By providing your contact information, you agree to receive:

  • Event planning and logistics communications
  • Service updates and important notices
  • Marketing communications (with opt-out option)
  • Feedback requests after your event

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

12.2 Dispute Process

  • First, we'll attempt to resolve disputes through good faith negotiation
  • If negotiation fails, disputes will be resolved through binding arbitration in Toronto, Ontario
  • Each party bears their own legal costs unless otherwise determined

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. For confirmed bookings, the Terms in effect at the time of booking will apply unless both parties agree to modifications in writing.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

15. Entire Agreement

These Terms, together with any signed performance contracts and our Privacy Policy, constitute the entire agreement between you and uRequest Live regarding our Services and supersede all prior agreements and understandings.
